In this role, you will oversee legal matters pertaining to the company's investments in Kazakhstan, working closely with in-house General Counsel.
Responsibilities:
· Legal Documentation: Draft, review, and negotiate complex legal documents, including term sheets, investment agreements, and corporate documents, ensuring adherence to legal and regulatory requirements.
· Legal Research: Conduct in-depth legal research on Kazakh and AIFC laws to assess the feasibility of investment structures and identify potential legal challenges. Stay abreast of evolving legal landscape and regulatory changes.
· Negotiations: Represent the company in high-stakes negotiations with project companies, ensuring that legal and compliance interests are protected. Collaborate with external legal advisors to provide expert guidance.
· Investment Support: Provide strategic legal counsel to the investment team, assisting in deal structuring and execution. Oversee the legal and compliance aspects of invested companies' operations.
· Staff and Contracts: Advise on employment law matters, ensuring compliance with local labor regulations. Review and negotiate commercial contracts, safeguarding the company's interests and mitigating legal risks.
Qualifications:
· Minimum of five years of experience as an in-house legal counsel or lawyer at an international law firm, specializing in corporate law or M&A.
· A deep understanding of Kazakh and AIFC laws, regulations, and practices, with a strong emphasis on corporate law and contract law.
· Proven track record of successfully closing complex deals and managing legal and compliance risks.
· Exceptional leadership, communication, and problem-solving skills, with the ability to thrive in a fast-paced and dynamic environment.
· Demonstrated experience working on private equity deals in Kazakhstan is preferred.
· A Kazakh legal qualification (LLM preferred).
· Willingness to travel between Almaty and Nur Sultan as needed.
